These Terms of Service form a legally binding agreement between you and ScheduleCTRL Ltd. Please read them carefully to understand your obligations when using schedulectrl.com, our tenant portals, and our mobile applications.
1. Introduction
ScheduleCTRL Ltd ("ScheduleCTRL", "we", "us", or "our") provides software-as-a-service platforms for scheduling, workforce management, communications, and customer relationship management. These Terms of Service ("Terms" or "Agreement") govern your access to schedulectrl.com, app.schedulectrl.com, any tenant subdomain ending in .schedulectrl.com, our iOS and Android mobile applications, and any associated services, APIs, or integrations (collectively, the "Services").
By creating an account, accepting an invitation, starting a free trial, or otherwise using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not access or use the Services.
2. Key Definitions
For clarity, the following definitions apply throughout these Terms:
- "Account" means the master account created to access the Services, including associated tenant subdomains and user seats.
- "Administrator" means the individual who controls Account settings, billing, and user permissions.
- "Customer Data" means all data, content, and materials submitted to or generated within the Services by you or on your behalf, including information about your staff, customers, appointments, locations, and communications.
- "End User" means any individual authorised by you to access the Services under your Account, including staff, contractors, or clients.
- "Subscription" means the plan, term, and features you select when purchasing paid access to the Services.
3. Account Registration and Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a legally binding contract to use the Services. When registering an Account, you must provide accurate, complete information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activities occurring under your Account.
- If you suspect unauthorised access, you must notify us immediately at admin@schedulectrl.com.
- We may suspend or terminate Accounts that provide false information, violate these Terms, or pose security risks.
4. Subscriptions, Plans, and Billing
The Services are offered on free, trial, and paid subscription plans. Plan features, limits, and fees are described on schedulectrl.com or within your Account settings.
- Billing cycles are monthly or annual, depending on your selection at checkout.
- Subscriptions renew automatically unless cancelled before the current term ends.
- A valid payment method must be maintained. You authorise us and our payment processors (including Stripe) to charge all fees and applicable taxes to that method.
- If a payment fails, we may suspend or downgrade your access until outstanding amounts are settled.
- We may change plan pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
5. Tenants, Roles, and End Users
An Account may include multiple tenant workspaces and user roles. Administrators control permissions, branding, and data retention within each tenant subdomain.
- You are responsible for configuring user roles and ensuring End Users comply with these Terms.
- If your business invites customers to portals or mobile apps, you remain responsible for all Customer Data they provide.
- We may assist with migrations or onboarding but you remain the controller of Customer Data processed through your tenants.
6. Acceptable Use and Prohibited Conduct
You agree not to misuse the Services or allow others to do so. Prohibited conduct includes:
- Violating any applicable law, regulation, or industry code (including data protection, labour, marketing, and communications laws).
- Uploading unlawful, defamatory, infringing, or harmful content.
- Attempting to gain unauthorised access to other Accounts, systems, or networks.
- Interfering with or disrupting the integrity, availability, or performance of the Services.
- Copying, reverse-engineering, or creating derivative works of the Services except where expressly permitted by law.
- Sending spam, unsolicited marketing messages, or communications without valid consent.
7. Customer Data and Privacy
You retain all rights to Customer Data submitted to the Services. ScheduleCTRL processes Customer Data solely to provide, secure, and improve the Services, and as otherwise described in our Privacy Policy.
You represent that you have obtained all necessary rights, consents, and notices to submit Customer Data. You are responsible for configuring retention, deletion, and access controls within the Services.
Our processing of personal data is governed by the ScheduleCTRL Privacy Policy located at /privacy-policy. Where required, we will enter into data processing agreements or standard contractual clauses in accordance with applicable law.
8. Integrations and Third-Party Services
The Services may integrate with third-party platforms such as Stripe, Twilio, Zapier, accounting tools, and analytics providers. Integrations are optional and enabled at your discretion.
- Third-party services are governed by their own terms and privacy policies.
- ScheduleCTRL is not responsible for third-party services and disclaims liability arising from their use.
- You grant us permission to exchange Customer Data with selected integrations in accordance with your configuration.
9. Mobile Applications
Our iOS and Android mobile apps provide on-the-go access to scheduling, job management, time tracking, communications, and related features.
- You are responsible for ensuring mobile devices meet our technical requirements and remain secure.
- Certain features (such as GPS tracking or photo uploads) require appropriate device permissions; you must ensure End Users obtain necessary consents before collecting location or media data.
- App store terms from Apple and Google apply in addition to these Terms.
10. Beta Features and Early Access
We may invite you to test beta or early access features. Such features are provided on an "as-is" basis, may be modified or withdrawn at any time, and are excluded from service level commitments.
You acknowledge that beta features may be less stable than generally available functionality. Your feedback helps improve the Services, and we may use it without restriction.
11. Service Availability and Support
We aim to provide reliable Services with commercially reasonable uptime and support. Maintenance windows, outages, or emergency updates may occur.
- Support is available via admin@schedulectrl.com and in-app channels during published support hours.
- We will use reasonable efforts to notify you in advance of scheduled maintenance that could materially impact availability.
- We are not responsible for downtime caused by factors outside our reasonable control, including internet providers, hosting outages, or third-party integrations.
12. Term and Termination
These Terms remain in effect while you access the Services. You may cancel your Subscription at any time effective at the end of the current billing period.
- We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or pose a security or legal risk.
- Upon termination, you remain responsible for outstanding fees. We may delete or anonymise Customer Data after a retention period unless you request export before termination.
- Provisions which by their nature should survive termination (including confidentiality, ownership, indemnities, and limitations of liability) will survive.
13. Fees, Taxes, and Refunds
Fees are stated exclusive of applicable taxes, duties, and levies. You are responsible for all taxes associated with your Subscription. Refunds are granted at our discretion unless required by law.
Free trials convert to paid plans at the end of the trial unless cancelled beforehand. Downgrading your plan may reduce features, capacity, or functionality.
14. Intellectual Property
ScheduleCTRL and its licensors own all intellectual property rights in the Services, including software, interfaces, templates, logos, documentation, and derivative works.
- No rights are granted to you other than those expressly stated in these Terms.
- You may not remove proprietary notices, trademarks, or copyright markings from the Services.
- You grant us a worldwide, royalty-free licence to host, copy, transmit, and display Customer Data solely to provide and improve the Services.
15. Confidentiality
Each party agrees to protect the other's confidential information and use it only as necessary to perform under these Terms. Confidential information excludes data that is public, independently developed, or lawfully obtained without restriction.
16. Warranties and Disclaimer
We warrant that we will provide the Services in a professional manner consistent with industry standards. Except as expressly stated, the Services are provided on an "as is" and "as available" basis.
- We do not guarantee uninterrupted or error-free operation, or that the Services will meet your business objectives.
- Except to the extent prohibited by law, we disclaim all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement.
- You are responsible for verifying the accuracy of reports, notifications, invoices, and analytics generated by the Services before relying on them.
17. Limitation of Liability
To the fullest extent permitted by law, ScheduleCTRL's total liability arising out of or related to the Services is limited to the fees you paid to us in the 3 month period preceding the event giving rise to liability.
- We are not liable for any indirect, consequential, special, incidental, exemplary, or punitive damages, including loss of profits, revenue, goodwill, or data.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.
18. Indemnification
You agree to indemnify and hold harmless ScheduleCTRL, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:
- Your breach of these Terms or applicable law.
- Customer Data or content submitted via your Account.
- Use of the Services by you or your End Users in a manner that infringes or violates any rights of another party.
19. Compliance and Communications Laws
You are solely responsible for ensuring all communications sent via the Services comply with applicable laws, including the UK GDPR, Data Protection Act 2018, PECR, TCPA, CAN-SPAM, CASL, and any similar regulations in jurisdictions where you operate.
You must obtain valid consent from recipients before sending marketing or automated messages and maintain accurate suppression lists where required.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or confidential information.
21. Changes to These Terms
We may update these Terms to reflect changes in the Services, legal requirements, or business practices. We will notify you of material changes via email, in-app notice, or by updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
